Video Editing Service Agreement

1. Term & Commencement

This agreement begins on Saturday, 17th January 2026 and continues for a period of 12 months, unless otherwise terminated in accordance with Section 8 of this agreement.

2. Ramp-up Period

A ramp-up period shall apply from the commencement date until Saturday, 28th February 2026, during which:

• The Editor shall deliver 1 video concept per day
• The Client shall pay a reduced retainer of $3,000 USD for this period
• Any additional work (including long-form content) shall be invoiced separately

Following the ramp-up period, full-time terms as outlined in Section 4 shall apply from 1st March 2026.

3. Scope of Work

The Editor agrees to provide ongoing video editing services to the Client, including:

Short-form video editing including TikTok, Instagram Reels, YouTube Shorts, and ads. This includes video concepts, hook variations, caption split tests, and ad content as required.

Additional Work: Long-form video editing (YouTube videos 8+ minutes) shall be priced separately per project as agreed.

4. Retainer & Payment

From 1st March 2026, the Client agrees to pay the Editor a fixed monthly retainer of $8,000 USD for ongoing video editing services.

• This covers 4-5 video concepts per day
• Payment is due on the 1st of each month
• The Editor will issue invoices on the last working day of each month
• All payments shall be made in USD. The Client is responsible for ensuring the full amount is received without deduction from fees or conversion losses

5. Revisions

• Each video includes up to 2 rounds of revisions
• Further changes beyond this will be discussed and may incur additional charges

6. Workflow & Communication

• The Editor works Monday to Friday and is based in the UK (GMT/BST) timezone
• The Client agrees to provide briefs and direction at least 24 hours in advance of expected turnaround where possible
• Briefs, requests, and files shall be delivered via a mutually agreed platform
• Same-day or weekend requests are not guaranteed and must be approved in advance

7. Time Off & Availability

The Editor may take occasional time off with reasonable notice. In such cases, the Client will be notified in advance, and delivery timelines will be adjusted accordingly where possible.

8. Termination

Either party may terminate this agreement with 30 days written notice.

Upon termination:

• The Editor shall complete any work in progress during the notice period
• Final payment shall be made for all work delivered
• There shall be no refund or clawback for retainer periods where the Editor was available and delivering work

9. Ownership & Rights

• Final video edits are owned by the Client upon full payment
• The Editor may use selected completed work for portfolio and promotional purposes unless otherwise agreed in writing

10. General

• This Agreement is governed by the laws of the United Kingdom
• Any substantial changes in workload or strategy will prompt a discussion to amend terms fairly for both parties
• This document constitutes the entire agreement between the parties and supersedes any prior discussions or agreements
